Public Offer

Individual Entrepreneur Shagabutdinov Renat Khannanovich (the “Contractor”), State Registration Number 324774600675720, Taxpayer Identification Number 773389350806, hereby publishes this public offer (the “Offer”) to enter into an agreement for the provision of paid services (the “Agreement”) on the following terms.

1. Definitions

• Offer — this document, which constitutes a public offer within the meaning of Article 435 and Article 437(2) of the Civil Code of the Russian Federation.
• Acceptance — the full and unconditional acceptance of the Offer effected by the Customer’s payment for a subscription.
• Customer — the natural person who has performed Acceptance of this Offer.
• Contractor — Individual Entrepreneur Shagabutdinov Renat Khannanovich, owner and operator of the “Mera” Service.
• Service — the “Mera” mobile application and website for calorie counting and nutrition tracking.
• Subscription — the provision to the Customer of access to the paid functions of the Service for a defined period under recurring-payment terms.
• Recurring payment — the automatic periodic debit of funds from the Customer’s bank card for renewal of the Subscription.
• Payment provider — LLC “YuMoney” (YooKassa), which processes payments.

2. Subject of the Offer

2.1. The Contractor undertakes to provide the Customer with access to the paid functions of the “Mera” Service, and the Customer undertakes to pay for the services in accordance with the chosen pricing plan.

2.2. The paid functions of the Service include:

• AI analysis of food photographs to determine calorie content and macronutrient composition.
• AI entry of meals from a text description.
• A personal AI assistant for nutrition-related questions.
• AI editing of nutrition entries.
• AI addition of ingredients from a description.

2.3. Use of the paid functions is subject to daily limits that depend on the pricing plan selected.

3. Pricing plans and cost

3.1. Prices are stated in Russian rubles and include all applicable taxes.

3.2. The Contractor is entitled to change the price of the pricing plans by giving the Customer not less than thirty (30) calendar days’ notice before the start of the new billing period. The new price shall apply from the next billing period.

3.3. The Contractor may offer discounts and special offers. The amount of any discount is displayed at the time the Subscription is purchased.

4. Conclusion of the Agreement

4.1. The Agreement is deemed concluded at the moment of Acceptance of the Offer — that is, at the moment of payment for the selected pricing plan.

4.2. To purchase a Subscription, the Customer shall:

1. Register an account in the Service.
2. Select a pricing plan.
3. Proceed to the YooKassa payment page to enter the bank-card details.
4. Confirm the payment and consent to the recurring charges.

4.3. Upon successful payment, access to the paid functions is activated automatically.

5. Recurring payments

5.1. By purchasing the Subscription, the Customer consents to the automatic debit of funds from the specified bank card at the end of each billing period.

5.2. Debits are made automatically through the YooKassa payment service in the amount corresponding to the selected pricing plan.

5.3. The debit occurs on the date corresponding to the date of initial payment, at the cadence set by the pricing plan (monthly or annually).

5.4. If a debit cannot be made (for example due to insufficient funds or card expiry), the Subscription is suspended. The Contractor may retry the debit for up to three (3) days.

5.5. The Customer may attach a new bank card for payment through the corresponding feature of the Service.

5.6. Bank-card data is stored and processed exclusively by the payment provider YooKassa (LLC “YuMoney”) in accordance with the PCI DSS security standard. The Contractor does not store card data on its own servers.

5.7. Payment security is provided by YooKassa, including 3-D Secure confirmation of transactions.

6. Changing the pricing plan

6.1. The Customer may change the pricing plan at any time through the Service.

6.2. When upgrading to a more expensive plan, the price difference is charged pro rata for the remainder of the period.

6.3. When downgrading to a cheaper plan, the change takes effect from the start of the next billing period.

7. Cancellation of the Subscription

7.1. The Customer may cancel the Subscription at any time through the Service.

7.2. Upon cancellation of the Subscription:

• Access to the paid functions is retained until the end of the current paid period.
• Automatic debits cease.
• At the end of the paid period, the account reverts to the free pricing plan.

7.3. The Customer may elect immediate cancellation, in which case access to the paid functions terminates forthwith.

8. Refunds

8.1. Refunds are issued in accordance with the law of the Russian Federation and Article 32 of the Law of the Russian Federation “On the Protection of Consumer Rights”.

8.2. The Customer is entitled to request a refund within fourteen (14) calendar days of payment, provided that the paid functions of the Service have not in fact been used.

8.3. Where the paid functions have been used, the refund is issued less the cost of the services actually rendered, calculated on a pro-rata basis.

8.4. To request a refund, the Customer shall send a request to contact@mera-api.ru stating the reason.

8.5. The refund request shall be considered within ten (10) business days. The refund is issued to the bank card from which payment was made within ten (10) business days after the request is approved.

9. Rights and obligations of the parties

9.1. The Contractor undertakes to:

• Provide the Customer with access to the paid functions of the Service following payment.
• Maintain the operability of the Service (save for scheduled maintenance and force-majeure circumstances).
• Notify the Customer of any change in pricing plans at least 30 days in advance.
• Handle Customer enquiries within a reasonable time.

9.2. The Contractor is entitled to:

• Vary the list and scope of the paid functions, with notice to Customers.
• Suspend access if the Customer is in breach of the Terms of Use.
• Conduct scheduled maintenance with prior notice.

9.3. The Customer undertakes to:

• Pay for the services in a timely manner in accordance with the selected pricing plan.
• Maintain sufficient funds on the bank card for the recurring debits.
• Comply with the Terms of Use of the Service.
• Not transfer access to the paid Subscription to third parties.

10. Liability

10.1. The Contractor is not liable for interruptions in the operation of the Service caused by force-majeure events, the actions of third parties, or technical failures.

10.2. The AI features provide approximate estimates. The Contractor is not liable for the accuracy of AI analysis or for decisions taken on the basis of such analysis.

10.3. The Service is not a medical application. The Contractor is not liable for any consequences of following AI recommendations.

11. Term and termination

11.1. The Agreement is in force from the moment of Acceptance until its termination.

11.2. The Agreement may be terminated:

• By the Customer — by cancelling the Subscription at any time.
• By the Contractor — in the event of a material breach of the Terms of Use by the Customer, with a pro-rata refund for the unused portion of the payment.
• By mutual agreement of the parties.

11.3. Deletion of the account by the Customer constitutes termination of the Agreement.

12. Dispute resolution

12.1. All disputes shall be resolved through negotiation. A pre-trial claim procedure is mandatory; the period for considering a claim is thirty (30) calendar days.

12.2. If no agreement is reached, the dispute shall be referred to the court at the Contractor’s place of business in accordance with the law of the Russian Federation.
